We are looking for a Company Secretary to head our legal and statutory compliance function in Caspian Impact Investments Private Limited, the impact debt initiative within the Caspian group. This is a key position within Caspian and we expect the right person in this role to add significant value to the quality of our legal processes and compliance. Job Title: Company Secretary Job Location: Hyderabad Reporting to Senior Manager - Operations Education & Experience Qualified Company Secretary with 4-5 years prior corporate experience. Preference will be given to candidates with prior experience in the financial services sector. Job Description Board Management • Primary contact person for the Board • Organizing and preparing agenda and background papers for board meetings, committees and general meetings; taking minutes, drafting resolutions, lodging required forms and annual returns with the Registrar of Companies; following up on actions from previous meetings • Contributing to meeting discussions as and when required, and advising members of the legal, governance, accounting on the provisions of the Companies Act, 2013; • Drafting Minutes of all meetings and ensuring that management is apprised of all action items Statutory and Regulatory compliance • Ensuring the secretarial compliance under the Companies Act, 2013, the SEBI (Investment Advisers) Regulations, 2013, the RBI Act, the AP Shops and Commercial Establishment Act, 1988, the Andhra Pradesh Tax on Professions, Trades, Callings and Employments Act, 1987 and all other applicable statutes; • Maintaining all statutory records and registers in compliance with the Companies Act • Key contact person w.r.t all regulatory authorities including the Reserve Bank of India, SEBI and ROC/MCA. • Drafting and filing of all correspondence with regulatory agencies; meeting and liaising with regulatory authorities on an as needed basis. • Liaising with regulators and advisers, including RBI, SEBI, RTA, Stock Exchange, debenture trustee, law firms and statutory and internal auditors; Statutory and Contractual Compliance • Developing and monitoring the systems that ensure the company complies with all applicable codes and polices; • Ownership and maintenance of a comprehensive compliance calendar; coordination with other members of the team to ensure timely compliance and reporting to statutory authorities, investor and others, as mandated in the compliance calendar; Loan Documentation • Drafting, reviewing and updating the loan documentation and other transactional documents to be executed by the Company with its portfolio companies • Interacting with the portfolio companies to negotiate and clarify the terms and conditions in the documentation and ensuring timely and efficient execution of the documentation • Loan documentation custody and management • Preparation and filing of necessary forms and returns with RoC, including co- ordination with borrower companies for filing of charge registration, registration of equitable mortgage, etc. Others • Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action; • Any other secretarial / legal functions of the Company as and when required Direct Reports None.
